Terms & Conditions

Effective Date: October 24, 2026 Last Updated: October 24, 2026

Introduction

Welcome to My Roo. These Terms & Conditions (“Terms”) are an agreement between you and My Roo LLC (“My Roo,” “we,” “our,” or “us”), based in Charlotte, North Carolina. They govern your use of our website, myroo.rocks (the “Website”), and our personal food assistant service, in which you text an AI-powered assistant named Roo (the “Service”).

By using the Website, submitting our intake form, paying the setup fee or texting Roo, you agree to these Terms, our Privacy Policy, our Disclaimer and our Refund & Cancellation Policy, each of which is part of these Terms. If you do not agree, please do not use the Website or the Service. You must be at least 18 years old to use the Service.

The Service

My Roo is a personal assistant for all things food. Depending on your setup, Roo can help with:

  • Meal planning and recipe suggestions
  • Grocery shopping, delivery and pickup orders (for example Wegmans, Harris Teeter, Costco Same-Day, Whole Foods, Instacart and similar services)
  • To-go and delivery restaurant orders
  • Dinner reservations (for example through Resy and OpenTable)
  • Pet food and related household orders

The Service starts with an intake form and an onboarding session. We may add, change, limit or remove features, supported stores or supported platforms at any time.

AI Technology

Roo is powered by artificial intelligence and runs in your own Grok account. Grok is an AI service provided by xAI, used through your own Grok subscription. Your usernames and passwords are held in your own secure Grok Bot vault, which is gated by your own Grok Bot login. My Roo LLC has no access to it. Your Roo conversations stay in your own Grok account. My Roo LLC does not receive, keep or store usernames, passwords or those conversations. The only client information My Roo has access to is the sign-up form and a basic payment record (your name, the amount and the date). You understand and agree that:

  • AI can make mistakes and can misunderstand your requests, messages, photos or preferences.
  • Roo may take actions based on a misunderstanding, and some or all of Roo’s work may happen without human review.
  • AI technology changes constantly, and updates to AI models or tools may change or break how the Service works, without notice.
  • You will not rely on Roo for medical, nutrition, allergy, legal or financial advice.

Our Disclaimer explains these risks in more detail and is part of these Terms.

Third-Party Services

The Service depends on websites, apps and services that we do not own or control, such as Grok (xAI), grocery stores, restaurants, delivery apps like Instacart and DoorDash, reservation platforms, pet retailers, payment services, and messaging and phone carriers (“Third-Party Services”). You agree that:

  • Your use of each Third-Party Service is governed by that service’s own terms and privacy policy, and you are responsible for complying with them.
  • You pay Third-Party Services directly for all of their charges, including your Grok subscription (the AI service Roo runs on); Instacart, DoorDash and other delivery service memberships and fees; store and restaurant charges for products and menu items; delivery fees; tips; service fees; taxes; deposits; and any cancellation or no-show fees. These charges are between you and the Third-Party Service, and My Roo does not collect or refund them.
  • Third-Party Services can change, go down, restrict access or stop working with assistants like Roo at any time, which may limit or end parts of the Service.
  • We are not responsible for the products, prices, availability, quality, safety, delivery, refunds, policies or practices of any Third-Party Service. Problems with an order or reservation usually need to be resolved with the Third-Party Service directly, and we will help where we reasonably can.

Your Accounts and Authorization

Roo acts on accounts that you own, from your own Grok account. By using the Service, you:

  • Authorize Roo, running in your own Grok account, to use the store, restaurant and delivery accounts you connect there to carry out your requests and the preferences on your intake form, including searching, building carts, applying rewards and coupons, choosing delivery or pickup windows, placing, modifying and cancelling orders, making and changing reservations, and communicating with stores and restaurants for you. My Roo LLC does not receive or store your usernames, passwords or Roo conversations, and has no access to your Grok Bot vault.
  • Agree that orders and reservations placed by Roo on your accounts are your orders and reservations, and that you are responsible for them and for all resulting charges.
  • Confirm that you are authorized to use each account and payment method you connect in your own Grok account, and that allowing an assistant to use your accounts does not violate any agreement you have.
  • Agree to keep your payment methods saved within each Third-Party Service’s own secure wallet. We do not ask you to send full card numbers by text message, and you should never do so.
  • Your usernames and passwords are held in your own secure Grok Bot vault, which is gated by your own Grok Bot login. My Roo LLC has no access to it. Tell us if you cancel an account or suspect unauthorized activity.
  • Agree to review order summaries, confirmations, receipts and reservation details, and to tell us promptly if anything looks wrong.

You can limit or withdraw this authorization at any time by telling us at hello@myroo.rocks or by text. Withdrawing authorization will limit or end the Service. Your usernames and passwords are held in your own secure Grok Bot vault, which is gated by your own Grok Bot login. My Roo LLC has no access to it.

Your Responsibilities

You agree to:

  • Give us accurate and complete information during intake and keep it up to date, including addresses, phone numbers, allergies and dietary needs
  • Check ingredients, allergen information and labels before anyone in your household (or any pet) eats or uses a product
  • Be available to receive deliveries, or give clear instructions for unattended deliveries
  • Respond to Roo’s questions when a decision is needed (for example a substitution or a sold-out item)

Acceptable Use

You agree not to use the Website or the Service to:

  • Buy alcohol, tobacco, cannabis, prescription drugs or any other age-restricted or regulated item unless we have expressly agreed and you meet all legal requirements, or buy anything illegal
  • Commit fraud, place orders you do not intend to pay for, or abuse store promotions, refunds or rewards
  • Use accounts or payment methods you are not authorized to use
  • Harass, threaten or abuse Roo, our team, delivery drivers, store staff or restaurant staff
  • Send content that is unlawful, harmful or infringes the rights of others
  • Attempt to gain unauthorized access to our systems or data, reverse-engineer the Service, or try to make Roo ignore its instructions or safeguards
  • Resell or share the Service with people outside your household without our written permission

Fees and Payment

  • One-time setup fee: The Service requires a one-time setup fee of [ ], payable before [when payment is due, e.g. your onboarding session]. The setup fee includes your setup and onboarding session.
  • No recurring My Roo fee: My Roo does not charge a monthly or recurring fee.
  • Optional additional help: If you ask for help beyond the included setup and onboarding, it is billed at [ ] per hour, either in advance or after the session, as we agree with you beforehand. Hourly fees are non-refundable once the time has been used.

Payment is arranged directly with My Roo, and we may later accept card payments through Stripe or another payment processor. You agree to provide accurate payment information and to pay all fees when due. Refunds and cancellations are governed by our Refund & Cancellation Policy. We may change our pricing at any time, but changes will not affect fees you have already paid.

Fees paid to My Roo do not include any amounts charged by Third-Party Services, which you pay directly. These include your Grok subscription (the AI service Roo runs on); Instacart, DoorDash and other delivery service memberships and fees; store and restaurant charges; delivery fees; and tips.

Text Messaging

By providing your phone number and texting Roo, you agree to receive text messages (iMessage and/or SMS) from My Roo and Roo related to the Service, including questions, order and reservation updates and confirmations. Message frequency varies. Message and data rates may apply. You can reply STOP at any time to stop receiving messages (which will also stop the Service), or reply HELP or email hello@myroo.rocks for help. Carriers are not liable for delayed or undelivered messages.

Intellectual Property

All content on the Website and in the Service, including text, graphics, the My Roo name, the Roo name and logo, designs, workflows and software, is owned by My Roo or its licensors and protected by intellectual property laws. You may not copy, distribute, modify or reproduce any of it without our prior written consent. You keep ownership of the intake form answers you give us, and you give us permission to use those answers to provide the Service as described in our Privacy Policy. Photos and Roo conversations stay in your own Grok account. We do not receive or store them.

Third-Party Links

The Website and Roo’s messages may contain links to third-party websites or services. These are provided for convenience only. We do not control and are not responsible for third-party content, policies or practices.

Disclaimer of Warranties

The Website and the Service are provided “as is” and “as available,” with all faults and without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy and non-infringement. We do not guarantee that the Service will be available, uninterrupted, timely, secure or error-free, or that it will produce any particular result.

Limitation of Liability

To the fullest extent permitted by law:

  • My Roo and its owners, members, managers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of money, food, goods, reservations, data, time or enjoyment, arising out of or related to the Website, the Service, Roo’s actions or errors, or any Third-Party Service.
  • We are not liable for wrong, missing, substituted, late or duplicate orders, pricing errors, missed or wrong reservations, allergen or dietary errors, Third-Party Service outages or charges, or any other matter described in our Disclaimer.
  • Our total liability for all claims of any kind will not exceed the total fees you actually paid to My Roo (not to Third-Party Services) in the twelve (12) months before the event giving rise to the claim.

These limits apply regardless of the legal theory (contract, tort, negligence, statute or otherwise) and even if a remedy fails of its essential purpose.

Indemnification

You agree to indemnify, defend and hold harmless My Roo and its owners, members, managers, employees, contractors and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Website or the Service
  • Orders, reservations and other actions taken on your accounts at your request or under your authorization
  • Your violation of these Terms or of any Third-Party Service’s terms
  • Information you provide on the intake form, including inaccurate allergy, dietary or address information
  • Your reliance on any information provided by Roo or the Website

Availability of the Service

We do not guarantee uninterrupted access to the Website or the Service, and we may modify, suspend or discontinue any part of either at any time, with or without notice.

Termination

You may stop using the Service at any time by replying STOP, texting Roo or emailing hello@myroo.rocks. We may suspend or end your access to the Service at our discretion, with or without notice, including if you violate these Terms, if a Third-Party Service blocks or limits Roo’s access, or if we stop offering the Service. When the Service ends, we will stop acting on your accounts. Your usernames and passwords are held in your own secure Grok Bot vault, which is gated by your own Grok Bot login. My Roo LLC has no access to it. We do not hold your passwords. Sections that by their nature should survive (including AI Technology, Third-Party Services, Fees, Disclaimer of Warranties, Limitation of Liability, Indemnification and Governing Law) will survive termination.

Changes to These Terms

We may update these Terms at any time. Updates will be posted on this page with a revised date. Continued use of the Website or the Service after an update means you accept the updated Terms.

Order of Precedence

If you and My Roo sign a separate written agreement for the Service, that agreement will control over these Terms to the extent they conflict.

Governing Law and Dispute Resolution

(a) Governing Law. These Terms, and any dispute or claim arising out of or relating to these Terms, the Website or the Service (whether in contract, tort, statute or otherwise), are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules.

(b) Informal Resolution First. Before filing suit, the party raising a dispute will send a written Notice of Dispute to the other party (to My Roo at hello@myroo.rocks), and the parties will negotiate in good faith for at least thirty (30) days.

(c) Exclusive Jurisdiction and Venue. Any suit, action or proceeding arising out of or relating to these Terms, the Website or the Service shall be brought exclusively in the state courts located in Mecklenburg County, North Carolina, or, if federal jurisdiction exists, the federal courts located in the Western District of North Carolina. Each party consents to the personal jurisdiction of those courts and waives any objection based on lack of personal jurisdiction, improper venue or forum non conveniens.

(d) Jury-Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY, VOLUNTARILY AND IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

(e) Class Action Waiver. To the fullest extent permitted by law, each party may bring claims against the other only on an individual basis and not as a plaintiff or class member in any class, collective, consolidated or representative action.

(f) Equitable Relief. Nothing in this section limits either party’s right to seek injunctive or other equitable relief in the courts identified in subsection (c) to protect its intellectual property rights or confidential information.
